Agreement to Terms
These Terms govern your access to and use of the websites, products, and services of AIONIQS Ltd (“AIONIQS”, “we”, “us”), a company registered in England & Wales and part of Ascendant Group Holdings. By engaging our services or using our website, you agree to these Terms.
Our Services
We provide:
- AI Integration Consulting — assessments, automation, and bespoke AI solutions.
- Web & Systems Building — websites, portals, and full intelligent systems.
- Creative Studio — brand identity, video production, and content.
- SaaS Products — purpose-built tools delivered under licence.
The specific scope of any engagement is defined in the proposal or statement of work we agree with you.
Quotes, Fees & Payment
Fees are set out in your proposal. Unless agreed otherwise, build projects are invoiced on a 40 / 30 / 30 structure: 40% to commence, 30% at the agreed midpoint, and 30% on launch. Invoices are payable within the period stated. Late payment may pause work.
Intellectual Property & Client Ownership
On full payment, you own the deliverables we create specifically for you, including source code, databases, and credentials. We retain ownership of our pre-existing tools, frameworks, and know-how, and grant you a licence to use them as part of your deliverables. Third-party components remain subject to their own licences.
Client Responsibilities
You agree to provide timely access, content, approvals, and accurate information, and to ensure you have the rights to any materials you supply to us.
Warranties & Disclaimers
We deliver our services with reasonable skill and care. Except as expressly stated, services and the website are provided “as is” without further warranties, to the fullest extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, loss of profit, or loss of data. Nothing limits liability that cannot be excluded by law.
Termination
Either party may terminate an engagement as set out in the relevant proposal. On termination, you will pay for work completed up to the termination date.
Governing Law
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
Changes
We may update these Terms from time to time. The “last updated” date above reflects the latest revision.
